Quik2Pay Terms of Service
Effective Date: May 14, 2026
By using Quik2Pay ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Quik2Pay LLC ("Quik2Pay"). If you do not agree, do not use the Services (as defined below).
These Terms supersede all prior versions, including the version dated April 20, 2026, and have been updated to cover the Quik2Pay SMS text-messaging program (see Section 11), as well as features released previously, including the Quik Tools business suite, Notary Academy, Early Payout (including cross-service partnerships), and additional third-party processors.
1. Service Description
Quik2Pay provides the following services (collectively, the "Services") to independent notaries public ("Notaries" or "you"):
(a) Payment Advance & Receivables Collection. We advance funds to you based on your completed notary signings and collect payments from signing services, escrow companies, title companies, lenders, or other third-party payors ("Payment Sources") on your behalf, pursuant to the Service Agreement and Limited Power of Attorney you separately execute. Quik2Pay is not a lender. Advances are purchases of your accounts receivable at a discount, not loans. You acknowledge that you are selling your receivables to Quik2Pay in exchange for immediate payment, less applicable fees.
(b) Early Payout. When a participating signing service or partner with which Quik2Pay has integrated ("Partner") elects to offer an early payout on a signing you completed for them, you may accept that offer to receive same-day payment, less the disclosed fee. Quik2Pay then collects the underlying invoice from the Partner on the Partner's standard payment terms. Early Payout offers may be made by Partners other than the Partner who originally referred you. See Section 8 (Early Payout) for additional terms.
(c) Quik Tools. A business management suite for notaries that includes a state-aware notarial journal ("E-Journal"), notarial acts log, mileage tracker, expense tracker, recurring expense automation, calendar feed, invoicing, IRS Form 1099 reconciliation, quarterly tax estimator, and template library. See Section 4 (Quik Tools) for additional terms.
(d) Notary Academy. A free 10-module educational course covering loan signing fundamentals, with quizzes and a final exam culminating in a certificate of completion. See Section 5 (Notary Academy) for additional terms.
(e) Cashflow Dashboard. A free aging-and-AR view that aggregates the receivables you've logged in the Signing Tracker, drafts AI-assisted follow-up emails, and surfaces overdue signings.
(f) Communications & Account Tools. Account dashboard, document storage, plan management, referral program, and transactional and informational email and (if you opt in) SMS communications.
2. Eligibility
You must be a currently commissioned Notary Public in good standing in your state, with no pending disciplinary actions or criminal proceedings related to your notary commission or professional conduct. You must be at least 18 years of age and have the legal capacity to enter into this agreement.
You represent and warrant that all information you provide to Quik2Pay during registration and throughout your use of the Services is accurate, complete, and current. You agree to update your profile promptly when material information changes (commission renewal, address, bank account, etc.).
We may, at our discretion, verify your identity, notary commission, and other eligibility criteria using third-party data providers, public records, and AI-assisted document analysis (see Section 18 — Communications & AI Processing — and our Privacy Policy).
3. Fees
(a) Application Fee. A one-time $5 verification fee, charged upon account registration to verify your identity and notary commission. The fee is non-refundable. We may waive this fee through promotional codes or partnerships at our discretion.
(b) Plan Fees. Recurring monthly subscription fees and/or per-transaction percentage fees apply based on the plan you select. Current plan pricing, fee rates, and feature availability are published at https://www.quik2pay.com/pricing and are incorporated by reference. Percentage fees represent the discount rate at which you sell your receivables to Quik2Pay. Monthly subscription fees, where applicable, are charged in advance and cover platform access and features for the upcoming billing period.
(c) Early Payout Fee. When you accept an Early Payout offer, the disclosed Early Payout fee (currently a percentage of the invoice amount, set per Partner) is deducted from the advance amount before payment to you. The exact fee for each offer is shown to you before you accept.
(d) Quik Tools Standalone Subscription. If you do not have access to Quik Tools through a paid plan or Founding Notary status, you may purchase a standalone Quik Tools subscription at the rate published on our website.
(e) Stripe Connect Processing Fees (when applicable). When you use Quik2Pay Invoicing with Stripe Connect to accept payments from your clients, Stripe's standard processing fees and Quik2Pay's platform fee (disclosed at the time of Stripe Connect onboarding) apply to each transaction. These fees are deducted before funds are transferred to your linked Stripe account.
(f) Authorization to Deduct. You authorize Quik2Pay to deduct all applicable fees from advances, collected payments, future advances, or to debit your linked bank account if the foregoing are insufficient.
All fees are non-refundable, including in the event of early termination, account closure, or non-payment by Payment Sources, except where prohibited by law.
4. Quik Tools
(a) License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Quik Tools for your own notary business operations.
(b) Data Ownership. You own the data you enter into Quik Tools (your notarial journal entries, signings, mileage logs, expenses, invoices, and related records). Quik2Pay processes that data solely to provide the Services to you and as described in our Privacy Policy. You may export your data at any time using the in-app export tools or by request to support@quik2pay.com.
(c) Notarial Journal Compliance. The E-Journal is a recordkeeping tool. You remain solely responsible for compliance with your state's notarial recordkeeping requirements, including required entries, signature collection, thumbprint collection (where required), data retention periods, and chain-of-custody. Quik2Pay's E-Journal is designed to support common state requirements but does not provide legal advice and is not certified by any state. You should verify that your use of the E-Journal satisfies your state's requirements.
(d) Tax & Financial Estimators. The Quarterly Tax Estimator, Schedule C summary, SE-tax exempt-amount estimator, and 1099 reconciliation tools are provided for general planning purposes only. They are not tax advice. You should consult a licensed tax professional before relying on these outputs for any tax filing.
(e) Founding Notary Status. The first 200 Notaries who are approved on the Quik2Pay platform receive lifetime access to Quik Tools at no recurring cost ("Founding Notary" status), so long as your account remains in good standing and is not terminated for cause. This commitment is binding on Quik2Pay and survives reasonable changes to plan structure. We reserve the right to (i) modify the features included in Quik Tools, (ii) discontinue or rename specific tools, or (iii) move features into separate products, provided that any such changes are applied uniformly to Founding Notaries and other paying users. If we discontinue Quik Tools entirely, Founding Notaries will receive at least 90 days' notice and a full data export.
(f) AI-Assisted Features. Several Quik Tools features use AI (e.g., receipt OCR via image analysis, AI-drafted client invoice descriptions, chase-email drafts, and voice memo summaries in CRM tools). AI outputs may be inaccurate. You are responsible for reviewing and verifying any AI-generated content before relying on it or sending it to a third party. See Section 18 for the list of AI processors.
(g) Public iCal Feed. When you enable a calendar feed, Quik Tools issues a private token that grants access to your signing schedule via iCal subscription. Anyone with the token URL can view your schedule. Treat the token like a password. You can revoke and reissue the token at any time in Quik Tools.
5. Notary Academy
(a) Free Access. The Notary Academy is provided free of charge.
(b) Educational Content. Course content, quizzes, and the final exam are educational and informational only. The Notary Academy does not constitute or substitute for state-required notary training, certification, or examination, including the National Notary Association's Loan Signing Agent certification or any state-specific signing-agent qualification. You are responsible for verifying that any pre-licensing or continuing-education requirements of your state are independently satisfied.
(c) Certificate of Completion. Upon passing the final exam, you receive a Quik2Pay-issued certificate of completion. This certificate reflects completion of the Quik2Pay Academy program only. It is not a state-issued credential and does not authorize any new notarial powers.
(d) Intellectual Property. All Academy content (modules, quizzes, exam questions, and supporting materials) is the property of Quik2Pay and is licensed to you for personal educational use only. You may not redistribute, reproduce, sell, or use the content to create competing educational products.
(e) Affiliate Links. Some Academy modules may include affiliate links to third-party products and services. We may earn a commission on purchases made through those links at no additional cost to you. Affiliate disclosures are shown in-product.
6. Account Responsibilities
You are responsible for maintaining the confidentiality and security of your account login credentials, including your password and any active session tokens (such as magic-link tokens or iCal tokens). You agree to immediately notify Quik2Pay of any unauthorized access or use of your account at support@quik2pay.com. You are liable for all activities that occur under your account, whether authorized or unauthorized, until you notify us of the breach.
We may, but are not obligated to, suspend access to your account if we detect anomalous activity, including but not limited to logins from unexpected geographies, repeated failed authentication attempts, or behavior consistent with credential compromise.
7. Prohibited Conduct
You agree not to: (a) submit false, fraudulent, or duplicate invoices or signings; (b) use the Services for any illegal purpose or in violation of any applicable laws or regulations; (c) interfere with or disrupt the Services or the servers or networks connected to the Services; (d) attempt to gain unauthorized access to any portion of the Services or any other systems or networks; (e) use any automated means (bots, scrapers, headless browsers) to access the Services or collect information, except for your own personal use of the iCal feed; (f) impersonate any person or entity or misrepresent your affiliation with any person or entity; (g) engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services; (h) use the Notary Academy content to develop a competing product; (i) use the Services to solicit, harass, or send unsolicited commercial messages to other Quik2Pay users; or (j) attempt to circumvent rate limits, access controls, or fee structures.
8. Payment Collection, Advances, and Early Payout
(a) Standard Advances. Upon submission of an eligible signing and approval by Quik2Pay, we will advance funds to you, less applicable fees. Quik2Pay will then collect the underlying receivable directly from the Payment Source pursuant to the Limited Power of Attorney you grant. Payment timelines from Payment Sources are not guaranteed; Quik2Pay is not responsible for delays or non-payment by Payment Sources.
(b) Early Payout — Original Partner. When a Partner who originally referred you offers an Early Payout on one of your signings, accepting the offer transfers ownership of the underlying receivable to Quik2Pay. Quik2Pay then collects from that Partner on the Partner's normal payment terms.
(c) Early Payout — Cross-Service. Quik2Pay also supports Cross-Service Early Payout, in which any Partner integrated with Quik2Pay may offer an Early Payout on any of your approved signings, regardless of which Partner originally referred you. Accepting a Cross-Service Early Payout authorizes Quik2Pay to (i) advance funds to you on the offering Partner's terms, (ii) collect from the offering Partner, and (iii) attribute referral credit (where applicable) to the Partner who provided the value on that specific signing. You retain full discretion to decline any Early Payout offer.
(d) Recourse. All purchases of receivables by Quik2Pay are with full recourse. If any receivable is not collected for any reason — including non-payment, dispute, chargeback, bankruptcy of the Payment Source, or any other cause — you agree to immediately repay Quik2Pay the full advance amount plus all fees and costs. You authorize Quik2Pay to debit your linked bank account or withhold future advances to satisfy any amounts owed. Failure to repay may result in account suspension, termination, and collection actions.
(e) Credit Reporting. Quik2Pay does not currently report account activity to consumer credit bureaus. If we begin to do so in the future, we will provide you with at least 30 days' advance notice and update these Terms to comply with applicable furnisher obligations under the Fair Credit Reporting Act ("FCRA").
9. Representations & Warranties
You represent and warrant that: (a) all signings and invoices submitted are legitimate, completed, and unpaid at the time of advance request; (b) you have the full right and authority to assign the receivables to Quik2Pay free and clear of any liens, claims, or encumbrances; (c) the services you performed were completed in accordance with applicable laws and professional standards; (d) you have not and will not assign, pledge, or otherwise encumber the same receivables to any other party; (e) there are no disputes, setoffs, or defenses asserted or threatened by the Payment Sources; (f) you will not take any action that would impair Quik2Pay's rights in the assigned receivables; and (g) any data you upload, including notarial journal entries and supporting documentation, is true and accurate to the best of your knowledge.
10. Communications & Sender Addresses
By creating an account, you consent to receive transactional communications from Quik2Pay related to your use of the Services, including but not limited to: account verification, application status, advance and payout confirmations, repayment reminders, security alerts, billing receipts, blog/training drip emails (if you have opted into the Notary Academy), and platform updates.
You may receive emails from any of the following Quik2Pay sender addresses, all of which are legitimate: `mitch@quik2pay.com`, `support@quik2pay.com`, `notifications@quik2pay.com`, `invoices@quik2pay.com`. Verify any link or financial instruction by logging into your account directly at https://www.quik2pay.com or contacting support@quik2pay.com if anything looks suspicious.
You may also be invited to communicate with us via Facebook Direct Message (Facebook page: facebook.com/profile.php?id=61585933809722) for limited promotional purposes (such as fee waiver code requests). Communications on Facebook are subject to Facebook's terms and privacy policy in addition to ours.
11. SMS / Text Messaging Terms
Quik2Pay offers an optional SMS text-messaging program. By providing your mobile number and opting in — via the SMS consent checkbox at signup or by replying START to a Quik2Pay message — you agree to the following terms.
(a) Program description. SMS messages from Quik2Pay include account check-ins, onboarding assistance, support responses, time-sensitive account notifications, and occasional account-related offers (such as a free signing-submission code). Consent to receive SMS messages is not a condition of purchasing or using the Services.
(b) Message frequency. Message frequency varies based on your account activity and your interactions with us.
(c) Costs. Message and data rates may apply, depending on your mobile carrier and plan. Quik2Pay does not charge a fee for SMS messages.
(d) Opt-out. You may opt out at any time by replying STOP to any Quik2Pay SMS message. After you reply STOP, no further SMS messages will be sent to that number unless you opt back in by replying START. Reply HELP for help, or contact support@quik2pay.com. Opting out of SMS does not affect transactional email or in-app notifications.
(e) Carriers. Mobile carriers are not liable for delayed or undelivered messages. Supported carriers may change without notice.
(f) Privacy. Your mobile number and SMS opt-in data are handled as described in Section 6 of our Privacy Policy. We do not share mobile opt-in information with third parties or affiliates for their marketing purposes.
12. Limitation of Liability
QUIK2PAY IS NOT LIABLE FOR DELAYS, ERRORS, OR NON-PAYMENT BY THIRD PARTIES (SIGNING SERVICES, ESCROW, TITLE COMPANIES, LENDERS, BANKS) OR PAYMENT SOURCES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUIK2PAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF QUIK2PAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO QUIK2PAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100). THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
QUIK2PAY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED OUTPUT, INCLUDING BUT NOT LIMITED TO RECEIPT OCR, AI CHASE EMAILS, AI VOICE MEMO SUMMARIES, AI BLOG CONTENT, AND TAX ESTIMATOR OUTPUTS. AI OUTPUTS ARE FOR INFORMATIONAL PURPOSES ONLY.
13. Indemnification
You agree to indemnify, defend, and hold harmless Quik2Pay, its affiliates, officers, directors, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Services; (b) your breach of these Terms or any applicable law or regulation; (c) your notary services or any disputes with Payment Sources; (d) any inaccuracy in your representations or warranties; (e) your violation of any third-party rights, including intellectual property and privacy rights; or (f) any failure on your part to comply with state notarial recordkeeping or licensing requirements.
14. Termination and Suspension
Either party may terminate this agreement with or without cause upon thirty (30) days' written notice to the other party. Quik2Pay may immediately suspend or terminate your access to the Services without notice if: (a) you breach these Terms; (b) we suspect fraudulent activity; (c) your notary commission expires, is suspended, or revoked; (d) you fail to repay amounts owed; (e) you have been inactive for an extended period and fail to respond to reactivation outreach; or (f) we are required to do so by law or regulation.
Upon termination, all outstanding amounts owed to Quik2Pay become immediately due and payable. You may export your Quik Tools data for thirty (30) days after termination by contacting support@quik2pay.com; after that period, we may delete your data subject to the data retention requirements described in our Privacy Policy.
Sections 4(b)–(d), 8(d)–(e), 9, 12, 13, 14, 15, 17, and 18 survive termination.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") shall be resolved by binding arbitration in Las Vegas, Nevada, in Clark County, Nevada, in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA") then in effect.
The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if the parties cannot agree, appointed by the AAA. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction. Each party shall bear its own costs and attorneys' fees, unless the arbitrator awards fees to the prevailing party.
YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.
If the class-action waiver in this Section 15 is determined to be unenforceable in any jurisdiction with respect to a specific claim, then that specific claim shall be severed and litigated in court. The remainder of this arbitration provision shall remain in full force and effect.
16. Changes to These Terms
We may update these Terms at any time by posting the revised Terms on our website with a new effective date or by sending you notice via email. Material changes will be effective thirty (30) days after notice, unless otherwise required by law. Non-material changes (typo corrections, clarifications, formatting) take effect immediately upon posting. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
If you do not agree to a material change, your sole remedy is to terminate your account before the effective date.
17. Severability, Entire Agreement, Assignment, Force Majeure
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Entire Agreement. These Terms, together with the Service Agreement, Limited Power of Attorney, Privacy Policy, and any additional product-specific terms referenced herein (including any future Stripe Connect Terms or SMS Terms), constitute the entire agreement between you and Quik2Pay regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without Quik2Pay's prior written consent. Quik2Pay may assign these Terms in connection with a merger, acquisition, or sale of assets without restriction.
Force Majeure. Quik2Pay shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, supply shortages, internet or third-party service outages, or shortages of transportation, facilities, fuel, energy, labor, or materials.
18. Communications & AI Processing Acknowledgment
You acknowledge that Quik2Pay uses third-party service providers, including AI processors, to deliver and improve the Services. The complete list of categories of service providers (including but not limited to Stripe, Mercury, Anthropic, OpenAI, Resend, Mapbox, Vercel, Supabase, and Cloudflare) and the data categories shared with each is described in our Privacy Policy. By using the Services, you consent to the processing of your data by these providers, subject to the protections described in our Privacy Policy and the providers' own terms.
